Drafting dispute-resolution clauses that work

Published by The Justice Law Partners. Legal review: Binay Kumar, Advocate-on-Record, Supreme Court of India. General information only; not advice on an individual matter.

A sound clause should identify the governing law, forum, seat, appointment method and procedural route with enough precision to reduce avoidable preliminary disputes. The best design also reflects where parties and assets are located.

Reviewing the clause before execution is usually more efficient than repairing ambiguity after a dispute begins.

Make the clause work as a system

Read governing law, dispute forum, arbitration language and notice requirements together. Check whether different parts of the contract point to inconsistent processes. A copied clause may not reflect the parties, assets or transaction.

Resolve practical choices before signing

Discuss who can start the process, how notices reach the other party, how decision-makers are appointed and how interim questions are handled. Distinguish a preferred hearing location from the legal choices requiring advice.

Keep the complete contract record

Retain the executed agreement, incorporated schedules and amendments. Ask counsel to review the dispute mechanism alongside termination, payment, security and liability provisions, rather than treating it as a stand-alone paragraph.
