Turning a settlement into an enforceable record

Published by The Justice Law Partners. Legal review: Binay Kumar, Advocate-on-Record, Supreme Court of India. General information only; not advice on an individual matter.

Practice Note · Settlement

A workable settlement identifies obligations, payment or performance dates, default consequences, confidentiality, pending proceedings and how disputes about implementation will be resolved.

Where litigation is pending, the form in which terms are recorded before the court or tribunal can materially affect enforcement.

Write down what must happen

Identify each party, the obligations, amounts, dates and sequence of performance. Deal expressly with documents, property, payments and pending proceedings where relevant. Vague expressions of goodwill are not a reliable implementation plan.

Check authority and completeness

Confirm that the signatories have the necessary authority and that the proposed terms address the actual dispute. Keep a clear distinction between draft negotiations and the final agreed document. Sensitive information should be shared only through an agreed process.

Review the appropriate legal form

The effect of a settlement depends on its context and how it is recorded. Counsel should consider any required court step and consequences of non-performance. Mediation is a process for exploring agreement; participation alone does not mean a binding resolution exists.
